Client Work Product

- LASAIWA retains rights to pre-existing tools, frameworks, and methodologies
- LASAIWA may use general knowledge and experience gained during the project
5. Payment Terms
Payment terms for our services are as follows:
- Pricing and payment schedules will be specified in individual project proposals or contracts
- Unless otherwise agreed, invoices are due within 30 days of issuance
- Late payments may incur interest charges as permitted by law
- All fees are exclusive of applicable taxes unless stated otherwise
We reserve the right to suspend services for accounts with overdue payments.
6. Limitation of Liability
To the maximum extent permitted by applicable law:
- LASAIWA shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim
- We do not warrant that our services will be uninterrupted, error-free, or completely secure
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.
7. Termination
Either party may terminate the service relationship:
- With written notice as specified in the applicable service agreement
- Immediately if the other party materially breaches these terms
- Immediately if required by law or regulatory authority
Upon termination, you must pay for all services rendered up to the termination date. Provisions that by their nature should survive termination will remain in effect.
8. Governing Law and Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China.
Any disputes arising from or in connection with these terms shall be resolved through:
- Good faith negotiation between the parties
- If negotiation fails, mediation or arbitration in Jinan, China
- The courts of Jinan, Shandong Province shall have jurisdiction for any legal proceedings
